UPS Acquires Rollins Logistics

ATLANTA, Nov. 15, 1999 — The UPS Logistics Group today announced an agreement in principle to acquire the assets of Rollins Logistics, a subsidiary of Rollins Truck Leasing Corp. (NYSE: PCX-Symbol:RLC).

The acquisition, when finalized, will add more than 100 customers to UPS Logistics Group’s existing Worldwide Dedicated Services unit.

In a separate transaction, the UPS Logistics Group agreed to sell its UPS Truck Leasing unit and the 9,000-vehicle managed fleet to Rollins. The transaction is subject to normal regulatory approvals.

The two companies also signed a strategic alliance that includes co-marketing programs, as well as mutual “preferred provider” status: UPS Logistics for integrated logistics solutions and Rollins for truck leasing and maintenance services

Terms of the transactions were not disclosed by either party.

“Dedicated contract carriage is a critical component of our comprehensive supply chain management service offerings,” said Dan DiMaggio, Chief Executive Officer, UPS Logistics Group. “Our global logistics solutions often include a dedicated fleet component, and this acquisition significantly expands our U.S. network as well as our customer base.”

DiMaggio also praised Rollins’ excellent reputation of customer service and quality operations.

The UPS Logistics Group’s Worldwide Dedicated non-asset services include customer fleet management and customized transportation solutions that include planning and cost analysis. State-of-the-art technology offers real-time routing and scheduling, and wireless-based vehicle tracking and equipment activity monitoring.

Other transportation services provided by the UPS Logistics Group include multi-modal transportation network design, planning and management.
